Terms of Service

These Terms of Service (these "Terms") govern your access to and use of the UM4MI website at um4mi.com, mobile applications, booking widgets, and all related services (collectively, the "Services") provided by UM4MI ("UM4MI," "we," "our," or "us").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services.
1. Definitions
- "Guest" or "Diner" — any individual who uses the Services to search for restaurants, make reservations, place orders, or interact with Restaurant Partners
- "Restaurant Partner" — any restaurant, hospitality venue, or their authorized representatives who use the UM4MI platform to manage reservations, orders, guests, and operations
- "Account" — a registered user account on our platform
- "Platform" — the UM4MI reservation management system, including the CRM, booking engine, floor plan editor, AI concierge, and all related software
- "User Content" — any content, information, or materials submitted by users through the Services, including reviews, messages, and profile data
2. Eligibility
To use the Services, you must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements.
3. Guest Reservation Services
3.1 Making Reservations
UM4MI provides an online reservation system that connects Guests with participating Restaurant Partners. When you submit a reservation request, UM4MI contacts the Restaurant Partner's system to check availability and confirm the booking. Availability is determined by information provided to us by the Restaurant Partner and is subject to change.
3.2 Confirmation and Communications
Upon making a reservation, you will receive confirmation via email and/or SMS. By using our reservation Services, you agree to receive service-related electronic communications, including confirmations, reminders, updates, modifications, and cancellations.
3.3 Cancellations and No-Shows
You agree to honor your reservations or cancel them in a timely manner. Restaurant Partners may impose their own cancellation policies, including fees for late cancellations or no-shows. UM4MI facilitates the communication of such policies but is not responsible for their enforcement.
3.4 SMS Communications
You may receive SMS messages related to your reservations and orders. You can opt out at any time by replying STOP. Standard message and data rates from your carrier may apply. Message frequency varies based on your activity.
4. Online Ordering
UM4MI may offer online ordering services for pickup at participating Restaurant Partners. When you place an order, you enter into a direct transaction with the Restaurant Partner. UM4MI facilitates the order and payment processing but is not a party to the sale of food or beverages. The Restaurant Partner is solely responsible for the quality, safety, preparation, and fulfillment of all orders.
5. Payment Services
5.1 Payment Processing
Payments made through our Services are processed by Stripe, a PCI DSS Level 1 certified third-party payment processor. By submitting payment information, you authorize UM4MI and Stripe to charge the applicable amounts to your payment method. Your payment information is governed by Stripe's Privacy Policy and Terms of Service.
5.2 Deposits and Fees
Certain Restaurant Partners may require deposits or prepayment to secure a reservation. Such deposits are collected on behalf of the Restaurant Partner. Refund policies for deposits are determined by the individual Restaurant Partner.
5.3 Platform Fees (Restaurant Partners)
Restaurant Partners are subject to subscription fees and/or commission-based pricing as agreed upon during onboarding. UM4MI reserves the right to modify pricing with 30 days' written notice.
6. Restaurant Partner Terms
6.1 Account Responsibility
Restaurant Partners must provide true, accurate, and current information during registration and maintain the security of their account credentials. You are solely responsible for all activity under your account.
6.2 Data Processing
When Restaurant Partners use the UM4MI CRM and guest management tools, UM4MI acts as a Data Processor on behalf of the Restaurant Partner (the Data Controller). Restaurant Partners are responsible for ensuring they have a lawful basis to collect and process guest personal data and for complying with applicable data protection laws.
6.3 Restaurant Obligations
Restaurant Partners agree to:
- Honor all confirmed reservations made through the platform
- Maintain accurate availability, menu, and pricing information
- Comply with all applicable laws and regulations, including food safety and consumer protection
- Not use guest contact information obtained through our platform for purposes other than those related to the dining experience, unless the guest has provided separate consent
- Respond to guest data subject requests (access, deletion, etc.) in a timely manner
6.4 Subscription and Billing
Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except where required by law. UM4MI may offer a free trial period; if you do not cancel before the trial ends, your subscription will begin automatically.
7. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@um4mi.com if you believe your account has been compromised. UM4MI reserves the right to suspend or terminate accounts at its discretion.
8. AI-Powered Features
Our Services include AI-powered features, including the V0NCI AI concierge, which assists guests with restaurant discovery and reservation recommendations.
- AI-generated recommendations are provided on an "as-is" basis and may not always be accurate or complete
- UM4MI does not guarantee the accuracy of AI-generated content and is not responsible for decisions made based on such content
- We do not use personal conversations with our AI systems to train models
- AI features may be modified, suspended, or discontinued at any time without notice
9. User Content
9.1 Your Responsibility
You are solely responsible for all User Content you submit. You represent that your User Content is accurate, does not violate any third-party rights, and complies with applicable law.
9.2 License
By submitting User Content (such as reviews), you grant UM4MI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display such content in connection with our Services.
10. Prohibited Uses
You agree not to:
- Use our Services for any illegal purpose
- Scrape, crawl, or use automated tools to access the Services without authorization
- Interfere with or disrupt the Services or their infrastructure
- Impersonate any person or entity
- Transmit viruses, malware, or other harmful code
- Use the Services to send unsolicited communications
- Attempt to reverse-engineer, decompile, or disassemble any part of the Services
- Use the Services in any manner that imposes an unreasonable load on our infrastructure
- Make speculative, false, or fraudulent reservations
11. Intellectual Property
The Services, including all content, features, functionality, software, designs, and trademarks, are owned by UM4MI and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.
12. Third-Party Services
Our Services may contain links to or integrations with third-party services (e.g., Stripe, Google Maps, social media platforms). These third-party services are governed by their own terms and privacy policies. UM4MI is not responsible for the content, functionality, or practices of any third-party service.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UM4MI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
RESTAURANT PARTNERS ARE SOLELY RESPONSIBLE FOR THE QUALITY, SAFETY, AND FULFILLMENT OF THEIR SERVICES, INCLUDING FOOD PREPARATION, PRICING, AND GUEST INTERACTIONS. UM4MI ACTS AS A TECHNOLOGY PLATFORM AND IS NOT A PARTY TO THE CONTRACT BETWEEN GUESTS AND RESTAURANT PARTNERS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UM4MI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
IN NO EVENT SHALL UM4MI'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO UM4MI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless UM4MI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) any User Content you submit; (c) your violation of these Terms; or (d) your violation of any third-party rights.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which UM4MI operates, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
17. Modifications to the Services
UM4MI reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall have no liability to you for any modification, suspension, or discontinuation.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website or sending you an email at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and GDPR Policy, constitute the entire agreement between you and UM4MI regarding the use of our Services.
